The course is a UK focused Company law course covering: Meaning of Corporate Personality and distinction between incorporated and unincorporated associations. The nature, types and functions of companies. Historical development of the modern business company. The consequences of incorporation and its practical advantages and disadvantages. The corporate entity principle and exceptions to it. The ultra vires doctrine and the Articles of Association. The company's organs and agents and the liability of the company for their acts. Formation and flotation of companies. The module also aims to highlight future directions and trends in the regulation of companies.
